Terms of Service Agreement

1. Definitions

1.1 “Buyer” refers to the business entity purchasing goods.
1.2 “MOQ” means Minimum Order Quantity specified per product.

2. Order Process & Terms

2.1 Quotations

• Quotes are valid for 14 calendar days unless otherwise stated.
• Prices exclude taxes, duties, and shipping unless specified.

2.2 Order Confirmation

• Orders are binding upon written (email) confirmation.
• Changes requested after 24 hours may incur restocking fees.

2.3 Payment Terms

• Orders: 100% payment upfront for new buyers.

3. Shipping & Delivery

3.1 Lead Times

• Standard orders ship within 3-5 business days.

3.2 Risk of Loss

• Title passes to Buyer upon delivery.
• Buyer must inspect shipments and report damages within 48 hours.

3.3 Carrier Delays

• Not liable for delays due to customs, weather, or carrier issues.
• Expedited shipping costs borne by Buyer.

4. Returns & Warranties

4.1 Defective Goods

• Return authorized within 30 days with RMA number.
• Refund/replacement issued after inspection.

4.2 Warranty Coverage

• 12-month limited warranty for manufacturing defects.
• Void if tampered with or used outside specifications.

4.3 Non-Returnable Items

• Custom/OEM orders are final sale unless defective.

5. Intellectual Property

5.1 Ownership

• All product designs, logos, and website content are KC Pro Trading property.

5.2 White-Label Rights

• Buyer assumes full responsibility for trademark compliance on custom-branded goods.

6. Limitation of Liability

6.1 Cap on Damages

• Liability limited to order value; no consequential damages.

6.2 Indemnification

• Buyer indemnifies KC Pro Trading against claims from product resale.

7. Dispute Resolution

7.1 Negotiation

• Parties must attempt good-faith resolution within 30 days.

7.2 Governing Law

• Disputes resolved under Malaysia law.

8. General Provisions

8.1 Force Majeure

• Not liable for delays due to pandemics, wars, or supply chain disruptions.

8.2 Updates to Terms

• Revised terms posted online; continued use constitutes acceptance.

8.3 Severability

• If any clause is invalid, remainder remains enforceable.
